Terms of service.
The rules behind an Ozelith project, written the way we would say them on a call. Short sections, plain sentences, no clever wording designed to catch you out.

1.Who these terms are between
These terms are an agreement between you and Ozelith, a sole proprietorship working out of Office 522, EROS Corporate Park, Sector 2, IMT Manesar, Gurugram 122052, India. Ozelith is registered for GST in India. It is not an incorporated company, so there is no company number to quote, and you will not find one on our invoices either.
Where this page says we, us or Ozelith, it means that entity. Where it says you, it means the person or the business buying the work.
They apply when you use this site, when you send us an enquiry, and when we do paid work for you. If a signed scope document says something different from this page, the signed scope document wins.
2.What this site is
This site is two things. A portfolio of work we have made, and a form for starting a conversation. That is all it is.
Nothing on it is an offer, and nothing on it is a binding quote. We do not publish prices, because every job is scoped to what the client actually needs and the number is different every time. You get a real figure by email, in writing, after a call and a written scope.
Every figure we send is a one time price for one fixed scope. It is not a subscription and it is not a retainer. Nothing here renews, and there is nothing to cancel. Clients in India are quoted in rupees and clients elsewhere are quoted in dollars, and the currency written on your scope is the currency you pay in.
Some of the work shown was made for our own reel. Some work here is for clients, some is concept.
Sending the enquiry form does not create a contract and does not commit either of us to anything. What we do with the details you send is covered in our privacy policy.
3.How work actually starts
Three steps, in this order, every time.
- A call. We work out what you need, what it is worth, and whether we are the right people for it.
- A written scope with a fixed price. It says what we are making, what is included, what is not included, what it costs and when it lands. You approve it in writing.
- Milestones. The work runs in stages, each one signed off before the next begins.
No work begins without that written scope. If nobody has written it down and you have not approved it, we have not started, whatever was said on a call or in a chat.
4.What you own, and when
This is the part people have been burned on before, so we will be exact about it.
Accounts are yours from day one
The domain, the hosting, the ad accounts and any third party tools we set up for the project are registered in your name on the day they are created. Not ours. We work inside them using access you grant, and you can remove that access at any time, for any reason, without asking us.
Files and credentials are handed over
Source files, project files, editable design files and every automation credential we hold for you are handed to you at delivery. There is no handover fee and no exit fee. We do not hold anything back to keep you tied to us.
Ownership of the finished work passes on full payment
Once the final invoice for a project is paid, the finished work is yours. Until then we keep ownership of what has been delivered. That is the only hold the arrangement gives us, and it is the only one we want.
If you ask us to delete a working file after handover, we delete it. The one thing we keep is the portfolio copy described in the next section.
5.Intellectual property
What transfers to you
On full payment you own the final deliverables we made for you. The films and cuts, the site code and page designs, the logo and identity artwork, the copy we wrote for you, and the automations we built inside your accounts. You can use them, change them, and hand them to somebody else to change.
What stays with us
The general tools, methods, templates, prompt libraries, checklists and internal code we use across every project stay ours. If a piece of our internal code sits inside your build, you can keep using it in the delivered work for as long as you like at no extra cost. You cannot sell it on its own.
Third party material
Stock footage, music, fonts and software come with their own licence terms, and those terms apply to you the same way they apply to us. We will tell you which ones are in your project and what they cost to keep running.
Portfolio
We may show work we made for you in our portfolio, on this site, and in pitches. If you would rather we did not, tell us and we will not. If you change your mind later, ask us to take a piece down and we will.
6.Tools we use in the work
We use AI tools in production, most of all in film and image work, and we are not going to be coy about it. Image, video, voice and copy may all start inside an AI tool. Websites and brand identities are built and drawn by hand. Everything is finished by a person before it reaches you.
A human directs and finishes every piece. Somebody here chooses the shot, the edit, the grade, the type, the words and the final cut. Nothing is generated and shipped untouched.
For advertising in India, we include the labelling that applies to your ad in the build rather than charging extra for it, and we tell you which tier your ad falls into. ASCI guidance on labelling AI generated content is still moving. If it changes after your ad is delivered, we will tell you. If the rules move while your support window is still open, we redo the labels at no charge. After that window closes, re-labelling is quoted in writing like any other change of scope, and no work on it starts until you have approved the number.
If your platform, your industry or your country has its own disclosure rules, tell us early and we will build to them. We do not give legal advice on advertising compliance. If your category is a regulated one, have the ad checked by someone qualified before it runs.
7.Revisions and changes of scope
Your scope document says how many rounds of revision are included. A revision is a change inside what was agreed.
A change of scope is something new. A second film, another five pages, a fresh logo direction after one was approved, a platform we never agreed on.
A change of scope gets a number in writing before any work starts on it. Never an invoice afterwards. If you do not approve the number, we carry on with the original scope and nothing changes.
Sign off matters for this to work. Once you approve a stage, reopening it later is a change of scope, not a revision. We will say so at the time, not at the end.
8.Payment and milestones
Money is released against milestones. The milestones are written into your scope before anything starts, so you always know what the next payment is for.
Your scope carries one price, paid once. Milestones split that single price into parts so you are never paying far ahead of the work. They do not turn it into a recurring charge, and nothing on your scope renews on its own.
- 40% to start, 40% at the first review, 20% on delivery. Your scope names exactly what each of those three milestones covers, so you can see what you are paying for before you pay it.
- Bank transfer only. Clients in India can send it by NEFT, RTGS, IMPS or UPI. Clients outside India pay by international transfer. We do not take cash.
- Invoices are due within 7 days. We do not add interest to a late payment. What we do instead is at the end of this section.
- Ozelith is registered for GST in India, so clients in India are charged GST at the rate that applies to the service. Work for clients outside India is treated as an export of services, so GST is not added to that invoice.
Clients in India are invoiced in rupees. Clients outside India are invoiced in dollars. Prices in a scope exclude taxes unless the scope says otherwise. Bank charges and currency conversion costs are yours.
If a payment is more than 14 days late, we may pause the work. We will tell you before we pause, not after, and the moment it clears we pick up where we stopped.
9.What we do not promise
We will not promise you an outcome we do not control. This matters, because overclaiming is the exact thing buyers tell us they distrust about agencies. So, plainly:
- We do not guarantee search rankings. Nobody can. Google decides, and it does not tell anyone the rules.
- We do not guarantee sales, revenue, leads or conversion rates. Too much of that is your price, your product, your market and your follow up.
- We do not guarantee advertising results. Platforms change their rules, their costs and their algorithms without asking us.
- We do not guarantee reach, views or that anything will go viral.
- We do not guarantee that a third party tool or API keeps working the way it does today. When one breaks, we tell you what broke and what it costs to fix, in writing.
What we do promise is the work. Delivered to the scope, on the dates in the scope, at the standard you can see in the portfolio. If anyone ever tells you Ozelith guarantees a number, they are wrong, and this page overrides them.
10.Support after delivery
Every project comes with a support window for fixing things that are broken in what we delivered.
The window is 30 days from handover. For a website that means 30 days from the day it goes live. For a film it means 30 days from the day you get the final files. For an agent or an automation it means 30 days from the day it starts running on your own account.
Inside the window, bugs, broken links and anything that does not work the way the scope said it would are fixed at no charge. Outside the window, or for anything new, you get a number first and the work happens after you approve it.
Ongoing care for automations and agents is optional. It is never bundled into the build, it is never a condition of buying one, and the build stays a one time price whether you take it or not. If you do want care, it gets its own written agreement with its own price, and you can end it whenever you like. If you do take it, care means we watch the thing, fix the small stuff, keep the third party connections alive as they change under us, and give you a named person to write to. We reply inside one working day, and we start on anything actually broken the same day we confirm it.
11.Limitation of liability
We are responsible for doing the work properly and we stand behind it. We are not responsible for everything that could go wrong around it.
- Our total liability for a project is capped at the total amount you have actually paid us for that project.
- We are not liable for lost profit, lost revenue, lost data, lost opportunity or damage to reputation.
- We are not liable for problems caused by a third party service, by changes someone else made after handover, or by material you gave us that you did not have the right to use.
Nothing here limits liability that cannot legally be limited. Under Indian law that includes death or injury caused by our negligence, and it includes fraud or fraudulent misrepresentation. If you are buying as a consumer rather than as a business, your rights under the Consumer Protection Act 2019 stand whatever this page says.
12.Changes to these terms
We may update this page. The version that applies to your project is the one that was live on the day you approved your scope. If something changes that affects work already running, we will tell you rather than quietly editing the page.
13.Governing law
These terms are governed by the law of India, and the courts of Gurugram, Haryana have exclusive jurisdiction over any dispute under them.
Before either side goes near a court, we both agree to spend 30 days trying to settle it directly, in writing and on a call. Almost everything ends there. This does not stop either side asking a court for an urgent order if one is genuinely needed.

14.How to contact us
